My client is an established Investment firm covering private equity, asset management and real estate. They are based in Hong Kong with offices in Shanghai, Beijing, Shenzhen, Tokyo and New York. They are now looking to hire a Company Secretarial Manager with over 5 years relevant experience. 

 

Responsibilities

  • Provide full spectrum of company secretarial duties, its managed funds and fund invested companies in compliance with corporate governance and other local statutory rules, laws and regulations
  • Responsible for all company secretarial matters including the setting up of entities, the maintenance and updating statutory records and the filing of company returns and other documents as required by law/regulations
  • Maintain and update minutes books, corporate and statutory records and database in a systematic and effective way
  • Keep abreast of developments in and monitor the compliance of regulations and ordinances affecting our business and policies
  • Prepare statutory forms, draft minutes, resolutions and correspondence
  • Liaise and coordinate with internal and external parties, including solicitors and company secretarial agencies
  • Assist in ad-hoc tasks and assignments as assigned from time to time

Requirements:

  • Member of HKICS/ICSA with a diploma or above in the Company Secretarial studies
  • Minimum 5 years of relevant experience
  • Knowledge in Companies Ordinance and statutory requirements, relevant compliance regulations and corporate governance developments
  • Knowledge in company secretarial practice for Hong Kong, overseas and PRC companies
  • Willing to learn, dedicated, and committed
  • Self-motivated, have a strong sense of responsibility, independent and detail-oriented
  • Proficient in Viewpoint, Word, Excel, PowerPoint and Chinese Word Processing
  • An effective communicator with good written and spoken English and Chinese, including Putonghua
  • Candidate with less experience will be considered as Assistant Manager
